✅ TERMS OF SERVICE AGREEMENT

Effective Date: August 12, 2025

This Terms of Service Agreement (the "Agreement") is made effective as of August 12, 2025, by and between ShySpeaks & Company LLC (hereinafter referred to as "Savant Elite"), and the individual or entity (hereinafter referred to as the "User") identified as having agreed to the terms and conditions set forth in this Agreement.

WHEREAS, Savant Elite retains the right to cancel the membership for any reason it deems appropriate; and WHEREAS, Savant Elite does not offer refunds for any paid plans for any reason;

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, Savant Elite and the User (collectively referred to as the “Parties”) agree as follows:

ACCEPTANCE OF TERMS

By accessing or using Savant Elite’s programs or services, the User agrees to be bound by the terms and conditions set forth in this Agreement. If the User does not agree with these terms, they must cease using Savant Elite’s services immediately.

CANCELLATION OF MEMBERSHIP

Savant Elite reserves the right to cancel the User's membership for any reason it deems appropriate, without prior notice or explanation. Once an account has been suspended or canceled, all access to services will cease immediately. Paused accounts still incur charges, which Savant Sync will not be responsible for. Members can cancel their subscription anytime.

DENIAL OF MEMBERSHIP

Savant Elite retains full discretion in denying membership to anyone, at any time, without providing a reason for denial.

DISQUALIFICATION OF MEMBERSHIP

Membership will be revoked if a User is found to be engaging in illegal, harmful, or deceptive practices, or violating applicable laws or regulations.

MINIMUM ADVERTISED PRICING

When reselling any of Savant Elite’s software, resellers must adhere to the minimum advertised pricing of each plan. This pricing may be combined with other offers but must not fall below the established minimum.

REFUND POLICY

Savant Elite does not offer refunds for any paid plans, under any circumstances. We will not make exceptions to this policy. If you dispute a charge or leave a negative review for this reason, Savant Elite will submit documentation proving you were aware of this policy at the time of purchase.

COMPLIANCE

As a software provider, Savant Elite is beholden to the terms of use provided by each third-party system it integrates with. This means all Users must follow the applicable terms of use from those providers. Misrepresentation of brands, including use of original brand names in domains without disclaimers, is prohibited.

INTELLECTUAL PROPERTY

The User acknowledges and agrees that all rights, title, and interest in any intellectual property related to Savant Elite’s programs or services (including but not limited to trademarks, copyrights, and patents) remain the sole property of Savant Elite. Unauthorized use will result in legal action.

LIMITATION OF LIABILITY

In no event shall Savant Elite be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. The User expressly agrees that their use of the service is at their sole risk. The total liability of Savant Elite is limited to the amount paid by the User in the 30 days preceding any claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, or proposals, whether written or oral, with respect to the subject matter hereof.
